These Terms govern your use of this website and any purchase made from Regent Rogue Ltd. By using this website or placing an order, you agree to these Terms.

PART A - WEBSITE USE (APPLIES TO ALL USERS)

1. Access to the Website

  • We do not guarantee that the website will always be available or uninterrupted.
  • We may suspend, withdraw or restrict access for operational, security or business reasons.
  • You are responsible for ensuring that anyone accessing the site through your internet connection complies with these Terms.

2. Acceptable Use

You must not use the website:

  • To transmit malicious code (viruses, trojans, etc.)
  • To infringe intellectual property or privacy rights
  • To submit false or misleading information

PART B – TERMS OF SALE (APPLIES TO ALL ORDERS)

4. Formation of Contract

  • 4.1 Placing items in your basket does not create a contract.
  • 4.2 A legally binding contract is formed only when we confirm acceptance of your order by email or dispatch the goods.
  • 4.3 We reserve the right to refuse any order.

If payment has been taken and we cannot fulfil the order, we will refund you in full.

5. Product Descriptions

  • Product images are illustrative. Colours and minor details may vary.
  • Specifications may change without notice where required by manufacturer updates or regulatory changes.

6. Price and Payment

  • Prices are shown on the website at the time of order.
  • VAT is included or excluded as clearly indicated at checkout.
  • Delivery charges are shown during checkout.
  • We accept payment methods displayed on the website.

7. Delivery

  • We deliver to the locations listed at checkout.
  • Delivery times are estimates and not guaranteed.
  • Risk passes to you upon delivery.
  • Ownership passes once full payment has been received.

International customers are responsible for customs duties, taxes and compliance with local laws.

PART C – CONSUMER SALES (B2C)

This section applies only if you are purchasing as a consumer (an individual acting for purposes outside your trade, business or profession).

8. Your Right to Cancel (Distance Sales)

Under the Consumer Contracts Regulations 2013, you have 14 days from the day after delivery to cancel your order for any reason (unless an exemption applies).

You must return the goods within 14 days of cancellation. Items must be:

  • Unused
  • In original packaging
  • In resellable condition

You are responsible for return shipping unless the goods are faulty.

We will refund the purchase price (and standard delivery costs) within 14 days of receiving returned goods.

9. Faulty or Misdescribed Goods (Consumers)

Under the Consumer Rights Act 2015:

  • Goods must be as described
  • Of satisfactory quality
  • Fit for purpose

If goods are faulty within 30 days of delivery, you are entitled to a full refund. After 30 days, we may repair or replace before offering a refund.

Nothing in these Terms affects your statutory rights.

10. Non-Returnable Items

Certain goods may be non-returnable, including:

  • Sealed goods unsealed after delivery (where hygiene or safety applies)
  • Software or digital downloads
  • Regulated or compliance-controlled products where return is restricted

PART D – BUSINESS SALES (B2B)

This section applies where you purchase in the course of business.

11. No Consumer Cancellation Rights

Business customers do not have cancellation rights under the Consumer Contracts Regulations unless expressly agreed in writing.

Returns require prior written authorisation.

12. Inspection and Notification

Business customers must inspect goods on delivery and notify us in writing of defects within 5 working days.

Failure to notify within that period constitutes acceptance.

13. Warranty (Business Customers)

We warrant that goods will conform materially to their description at delivery.

If a defect arises within 30 days and is notified in writing, we will, at our discretion:

  • Repair
  • Replace
  • Refund

We are not liable for defects caused by:

  • Misuse
  • Improper storage
  • Unauthorised modification
  • Normal wear and tear

14. Limitation of Liability (Business Customers)

Nothing limits liability for:

  • Death or personal injury caused by negligence
  • Fraud
  • Any liability that cannot legally be excluded

Subject to that:

  • We are not liable for loss of profit, revenue, contracts, goodwill or indirect loss.
  • Our total liability is limited to the value of the relevant order.

PART E – GENERAL PROVISIONS (ALL SALES)

15. Force Majeure

We are not liable for delays caused by events outside our reasonable control, including supply chain disruption, regulatory changes, or transport issues.

16. Suspension or Termination

We may suspend or terminate a contract if:

  • Payment is overdue
  • You become insolvent
  • Compliance or legal concerns arise

Notices must be in writing and may be sent by email to info@regentrogue.com.

18. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

REGULATED PRODUCTS, EXPORT CONTROLS AND COMPLIANCE

19. Regulated, Controlled and Protective Equipment

19.1 Certain products supplied by Regent Rogue Ltd may be subject to:

  • UK export control legislation
  • UK strategic goods control lists
  • Trade sanctions regulations
  • End-user or end-use restrictions
  • Law enforcement, military or government procurement controls
  • Manufacturer-imposed supply restrictions

19.2 You acknowledge that some goods may be classified as protective, tactical, dual-use, or controlled equipment.

19.3 We reserve the absolute right to:

  • Refuse or cancel any order
  • Request identification, end-user information or supporting documentation
  • Conduct due diligence checks
  • Delay dispatch pending compliance verification

19.4 No contract shall require us to supply goods where doing so would:

  • Breach UK law or export regulations
  • Breach sanctions regimes
  • Breach manufacturer agreements
  • Raise reasonable compliance, ethical, or reputational concerns

20. Export Control and End-Use Restrictions

20.1 You are responsible for ensuring that:

  • The purchase, possession, import, export, transfer and use of the goods is lawful in your jurisdiction.
  • You comply with all applicable local and international laws.

20.2 Where goods are exported from the United Kingdom:

  • Export licences may be required.
  • Dispatch is conditional upon any necessary government approvals being granted.
  • We are not liable for delays caused by export licensing processes.

20.3 You must not:

  • Re-export goods in breach of UK or international law.
  • Supply goods to sanctioned individuals, entities or jurisdictions.
  • Use goods for unlawful, prohibited, or military end-use where restricted.

20.4 We reserve the right to request written confirmation of end-use and end-user identity prior to supply.

21. Defence, Law Enforcement and Government Supply Compliance

21.1 Where goods are supplied for defence, law enforcement, government or security-related purposes, the Customer confirms that:

  • It has lawful authority to procure such goods.
  • It is acting within its official capacity where applicable.
  • It will comply with all applicable procurement and operational regulations.

21.2 The Customer warrants that goods will not be:

  • Used in violation of human rights laws.
  • Transferred to unauthorised third parties.
  • Modified in a way that alters regulatory classification without lawful approval.

21.3 We may require additional documentation including:

  • Proof of organisational status
  • Procurement authority documentation
  • Official purchase orders
  • Export or import licences

21.4 We reserve the right to conduct enhanced due diligence on orders involving:

  • Ballistic protection
  • Tactical equipment
  • Security-related equipment
  • Products suitable for controlled or restricted environments

21.5 Any refusal to provide requested compliance documentation may result in cancellation of the order.

22. Indemnity for Regulatory Breach (Business Customers)

This clause applies to business purchasers only.

22.1 The Customer agrees to indemnify Regent Rogue Ltd against any claims, fines, penalties, or losses arising from:

  • The Customer’s breach of export control laws
  • Unlawful resale or re-export
  • Misrepresentation of end-use or end-user
  • Breach of sanctions or regulatory obligations
